THIS AGREEMENT is made and entered into effective the 13th day of September, 2019, by and among NATIONWIDE VARIABLE INSURANCE TRUST (the “Trust”), a Delaware statutory trust, NATIONWIDE FUND ADVISORS (the “Adviser”), a Delaware business trust registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and JACOBS LEVY EQUITY MANAGEMENT, INC., a corporation organized under the laws of the State of New Jersey (the “Subadviser”), and also registered under the Advisers Act.

THIS AMENDED FEE WAIVER AGREEMENT (the “Agreement”), effective as of May 1, 2019 and amended as of October 1, 2019, by and between NATIONWIDE FUND ADVISORS (“NFA”) and NATIONWIDE VARIABLE INSURANCE TRUST, a Delaware statutory trust (the “Trust”), on behalf of the following series (each, a “Fund,” and collectively, the “Funds”):

This Amendment (this “Amendment”) to the Global Custody Agreement dated April 4, 2003, as amended (the “Agreement”) by and between JPMORGAN CHASE BANK, N.A. (“J.P. Morgan”), as successor-in-interest to J.P. Morgan Investor Services Co,, and NATIONWIDE VARIABLE INSURANCE TRUST (the “Customer”), as successor-in-interest to Gartmore Variable Insurance Trust and on behalf of each Fund on the Fund List (each, a “Fund”) is entered into and made effective as of August 12, 2019 (the “Effective Date”) by J.P. Morgan and the Customer, on behalf of each Fund.
