THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of December 3, 2019 (the “Effective Date”), by and between Infor (US), Inc., a Delaware corporation (the “Company”), and Jay A.
