ONE Gas, Inc., an Oklahoma corporation (the “Company”), confirms its agreement (this “Agreement”) with Morgan Stanley & Co. LLC, BofA Securities, Inc. and Mizuho Securities USA LLC (each, in its capacity as sales agent in connection with the offering and sale of Issuance Shares (as defined below) hereunder, a “Manager” and collectively, the “Managers”), Morgan Stanley & Co. LLC, Bank of America, N.A. and Mizuho Markets Americas LLC (each, in its capacity as purchaser under any Forward Contract (as defined below), a “Forward Purchaser” and collectively, the “Forward Purchasers”) and Morgan Stanley & Co.
