As you know, on January 31, 2020 (the “Closing Date”), Cisco Systems, Inc. (“Cisco”) acquired Zomojo Pty Ltd. (“Zomojo”) (the “Acquisition”), pursuant to the Share Purchase Agreement by and among Cisco, Cisco Systems Australia Pty Limited, Zomojo, certain shareholders of Zomojo and the Securityholders’ Agent dated as of December 14, 2019 (the “Acquisition Agreement”). On the Closing Date, you held one or more outstanding restricted stock units related to ordinary shares of Zomojo stock that were previously granted to you under the Zomojo Pty Ltd. 2019 Equity Incentive Plan named below (the “Plan”).
