364-DAY TERM LOAN AGREEMENT (this “Agreement”), dated as of March 23, 2020, among XCEL ENERGY INC., a Minnesota corporation (the “Borrower”), the several banks and other financial institutions or entities from time to time parties to this Agreement (the “Lenders”), and U.S. BANK NATIONAL ASSOCIATION (in its individual capacity, “U.S. Bank”), as administrative agent (in such capacity as administrative agent, the “Administrative Agent”).
