THIS AMENDMENT (“Amendment”) amends the Participation Agreement dated May 13, 2015 (together with any prior amendments thereto, the “Agreement”) which is hereby incorporated by reference, and is made as of the Amendment Effective Date of August 16, 2019 by and between AXA EQUITABLE LIFE INSURANCE COMPANY (the “Company”), organized under the laws of the State of New York; ALPS VARIABLE INVESTMENT TRUST (the “Fund”), an open-end management investment company organized under the laws of the State of Delaware; ALPS ADVISORS, INC. (the “Advisor”), a corporation organized under the laws of the State of Colorado and investment advisor to the Fund; and ALPS PORTFOLIO SOLUTIONS DISTRIBUTOR, INC. (the “Distributor”), a corporation organized under the laws of the State of Colorado and principal underwriter / distributor of the Fund.
