This Second Amended and Restated Dealer Manager Agreement (this “Agreement”) is entered into by and between Nuveen Global Cities REIT, Inc., a Maryland corporation (the “Company”) and Nuveen Securities, LLC (the “Dealer Manager”), and amends and restates the Amended and Restated Dealer Manager Agreement entered into by and between the Company and the Dealer Manager on February 12, 2019.
