This Amended and Restated Distribution Agreement (the “Agreement”) dated as of April 1, 2020, shall be entered into by and among the funds listed in Exhibit A (each a “Fund” and collectively the “Funds”), each of which is a Delaware limited liability company operating as a closed-end, diversified management investment company registered under the Investment Company Act of 1940, as amended (the “1940 Act”), and GRV Securities LLC (F.K.A. Grosvenor Securities, LLC) (the “Distributor”), a Delaware limited liability company operating as a broker-dealer, registered under the Securities and Exchange Act of 1934, as amended, and with the Financial Industry Regulatory Authority, Inc. (“FINRA”).
