THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into this 18th day of June, 2020 among Seagate HDD Cayman, an exempted limited liability company incorporated under the laws of the Cayman Islands (the “Company”), Seagate Technology plc, a public limited company organized under the laws of Ireland (the “Parent”), and Morgan Stanley & Co.
