JetBlue Airways Corporation, a Delaware corporation (the “Company”), proposes that Wilmington Trust Company, a Delaware trust company (“Wilmington”), acting not in its individual capacity but solely as pass through trustee under the Class B Trust (as defined below) (the “Class B Trustee” and, in its capacity as trustee under the Class AA Trust (as defined below), the Class A Trust (as defined below) and the Class B Trust, each, a “Trustee”) under the Pass Through Trust Agreement, dated November 12, 2019 (the “Basic Agreement”), as supplemented for the Company’s Pass Through Certificates, Series 2019-1B (the “Class B Certificates”) to be purchased hereunder by a Trust Supplement No. 2019-1B (the “Class B Trust Supplement”) between the Company and the Class B Trustee (the Basic Agreement, as supplemented by the Class B Trust Supplement being referred to herein collectively as the “Class B Trust Agreement”), issue and sell to the underwriters named in Schedule I hereto (collectively, the
