Johnson Controls International plc, a public limited company organized under the laws of Ireland (the “Company”), and Tyco Fire & Security Finance S.C.A, a corporate partnership limited by shares (société en commandite par actions) incorporated and organized under the laws of the Grand Duchy of Luxembourg (the “Co-Issuer” and, together with the Company, the “Issuers” and each an “Issuer”), each confirms its agreement with each of the underwriters named in Schedule II hereto (the “Underwriters”), for whom you (the “Representatives”) are acting as representatives, with respect to the issue and sale by the Issuers and the purchase by the Underwriters, acting severally and not jointly, of the respective principal amounts set forth opposite their names in Schedule II hereto of €500,000,000 aggregate principal amount of the Issuers’ 0.375% Senior Notes due 2027 and €500,000,000 aggregate principal amount of the Issuers’ 1.000% Senior Notes due 2032 (collectively, the “Securities”), to be iss

THIS SIXTH SUPPLEMENTAL INDENTURE (“Sixth Supplemental Indenture”) is dated as of September 15, 2020, among Johnson Controls International plc, a public company limited by shares, incorporated under the laws of Ireland (the “Company”), Tyco Fire & Security Finance S.C.A., a corporate partnership limited by shares (société en commandite par actions) incorporated and organized under the laws of the Grand Duchy of Luxembourg (the “Co-Issuer” and, together with the Company, the “Issuers”), U.S. BANK NATIONAL ASSOCIATION, a national banking association, as trustee (the “Trustee”), and Elavon Financial Services DAC, as paying agent (the “Paying Agent”).
