This INVESTOR RIGHTS AGREEMENT is made as of September 17, 2020 (this “Agreement”) by and between ADT Inc., a Delaware corporation (the “Company”), and Google LLC, a Delaware limited liability company (the “Investor” and, together with the Company, the “Parties”).
