Lexicon Pharmaceuticals, Inc., a Delaware corporation (the “Company”), proposes, subject to the terms and conditions of this Placement Agency Agreement (the “Agreement”) and the Purchase Agreements (as defined in Section 1(a) hereof), to sell to certain investors (each, an “Investor” and collectively, the “Investors”) an aggregate of 20,312,500 shares (the “Shares”) of the Company’s common stock, par value $0.001 (the “Common Stock”), in an offering under the Company’s registration statement on Form S-3 (Registration No. 333-234568).

This Subscription Agreement (this “Agreement”) is dated as of December 11, 2020 (the “Effective Date”), among Lexicon Pharmaceuticals, Inc., a Delaware corporation (the “Company”), Artal International S.C.A. (the “Invus Purchasers”) and each other purchaser identified on the signature pages hereto (each a “Purchaser” and collectively with the Invus Purchasers, the “Purchasers”).
