THIS EMPLOYMENT AND RESTRICTIVE COVENANT AGREEMENT (this “Agreement”) is made and entered into as of December 23, 2020, by and between Altimar Acquisition Corporation, a Cayman Islands exempted company (the “Company”), and Doug Ostrover (“Executive”), and will be effective as of the Effective Date (as defined below). Capitalized terms used herein that are not defined in the paragraph in which they first appear are defined in Section 13 and, to the extent not defined therein (or if expressly stated herein), shall have the meaning set forth in the Investor Rights Agreement. For purposes of this Agreement, “Effective Date” means the Closing Date (as defined in the BCA (as defined below)), and if the Transactions (as defined below) are not consummated for any or no reason, such that the Closing Date does not occur, this Agreement shall be null and void ab initio.
