THIS AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of [•], 2021, is made and entered into by and among Nuvation Bio Inc., a Delaware corporation (formerly known as Panacea Acquisition Corp.)
