Certain shareholders named in Schedule I-B hereto (the “Selling Shareholders”) of Docebo Inc. (the “Company”), a corporation incorporated under the Business Corporations Act (Ontario) (the “OBCA”), propose, severally, to sell to the several underwriters named in Schedule II hereto (the “Underwriters”), for whom you are acting as managers (the “Managers”), the respective number of the Company’s common shares set forth opposite such Selling Shareholders’ names in Schedule I-B hereto (the “Firm Shares”).
