This Nomination and Standstill Agreement, dated January 26, 2021 (this “Agreement”), is by and among the persons and entities listed on Schedule A (collectively, the “Deason Group”, and individually a “member” of the Deason Group) and Xerox Holdings Corporation (the “Company”).
