This AMENDED AND RESTATED CREDIT AGREEMENT (“Agreement”), dated as of the Restatement Closing Date (as defined herein), among METLIFE, INC., a Delaware corporation (“MetLife”) and METLIFE FUNDING, INC., a Delaware corporation (“Funding”; together with MetLife, each a “Borrower” and collectively the “Borrowers”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”) and BANK OF AMERICA, N.A., as Administrative Agent and Several L/C Agent, amends and restates in its entirety that certain Five-Year Credit Agreement (as amended, restated, amended and restated, supplemented or otherwise modified from time to time prior to the date hereof, the “Existing Credit Agreement”) among the Borrowers, the lenders party thereto and Bank of America, N.A., as Administrative Agent (as defined therein).
