THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of this 16th day of October, 2020, between Nuveen New York Municipal Value Fund, Inc. (the “Acquiring Fund”), a Minnesota corporation, and Nuveen New York Municipal Value Fund 2 (the “Target Fund”), a Massachusetts business trust. The Acquiring Fund and Target Fund may be referred to herein each as a “Fund” and, collectively, as the “Funds.”
