This GROUND LEASE AGREEMENT (this “Lease”) is made and entered into effective as of March 31, 2021 (the “Effective Date”), by and between Warrick Real Estate LLC, a Delaware limited liability company whose address is 201 Isabella Street, Suite 500, Pittsburgh, Pennsylvania 15212 (“Landlord”), and Alcoa Warrick LLC, a Delaware limited liability company whose address is c/o Kaiser Aluminum Corporation, 27422 Portola Parkway, Suite 200, Foothill Ranch, CA 92610 (“Tenant”), and, solely as to Sections 2.2, 17 and 33.2, Alcoa Power Generating Inc., a Tennessee corporation whose address is 201 Isabella Street, Suite 500, Pittsburgh, Pennsylvania 15212 (“APGI”), and Warrick Newco LLC, a Delaware limited liability company whose address is 201 Isabella Street, Suite 500, Pittsburgh, Pennsylvania 15212 (“Newco”).
