This Amendment (the “Amendment”) is effective as of January 1, 2021 and amends the Participation Agreement dated May 1, 1998, as previously amended (the “Agreement”), by and among Brighthouse Life Insurance Company (“Brighthouse” or the “Company”), on behalf of itself and certain of its segregated asset accounts (the “Accounts”), Delaware VIP Trust (the “Series”) , Delaware Management Company (the “Adviser”) and Delaware Distributors, L.P. (the “Underwriter”) (collectively, the “Parties”). All capitalized terms used herein and not otherwise defined shall have the meaning ascribed to such terms in the Agreement.
