This NINETEENTH AMENDMENT TO GENERAL AGENT SALES AGREEMENT, dated as of January 1, 2020, is by and between AXA EQUITABLE LIFE INSURANCE COMPANY, a New York life insurance company, formerly known as The Equitable Life Assurance Society of the United States, a New York stock life insurance company, having offices at 1290 Avenue of the Americas, New York, New York 10104 (“AXA Equitable”), and AXA NETWORK, LLC, a Delaware limited liability company having offices at 1290 Avenue of the Americas, New York, New York 10104 (“General Agent”).

THIS AMENDMENT (“Amendment”) amends the Amended and Restated Participation Agreement dated March 15, 2010 (together with any prior amendments thereto, the “Agreement”) which is hereby incorporated by reference, and is made as of the Amendment Effective Date of October 23, 2020 by and between MFS VARIABLE INSURANCE TRUST (the “Trust I”); MFS VARIABLE INSURANCE TRUST II (the “Trust II”); EQUITABLE LIFE INSURANCE COMPANY OF AMERICA f/k/a AXA EQUITABLE LIFE INSURANCE COMPANY (the “Company”); and MFS FUND DISTRIBUTORS, INC. (“MFD”). Each separately being a “Party” and collectively referred to as, the “Parties”)

THIS AMENDMENT (“Amendment”) amends the FUND PARTICIPATION AND SERVICE AGREEMENT dated January 2, 2013 (together with any prior amendments thereto, the “Agreement”) which is hereby incorporated by reference, and is made as of September 10, 2020 by and between AXA EQUITABLE LIFE INSURANCE COMPANY (“Insurance Company”); AMERICAN FUNDS DISTRIBUTORS, INC. (“AFD”); AMERICAN FUNDS SERVICE COMPANY (“Transfer Agent”); CAPITAL RESEARCH AND MANAGEMENT COMPANY (“CRMC”); and the AMERICAN FUNDS INSURANCE SERIES (the “Series”). Capitalized terms not defined herein shall have the same meaning assigned to them in the Agreement.

THIS SEVENTH AMENDMENT (“Amendment”) amends the Fund Participation Agreement dated October 23, 2009 (together with any prior amendments thereto, the “Agreement”) which is hereby incorporated by reference, and is made as of the Amendment Effective Date of August , 2020 by and between EQUITABLE FINANICIAL LIFE INSURANCE COMPANY (formerly known as AXA Equitable Life Insurance Company) and EQUITABLE FINANCIAL LIFE INSURANCE COMPANY OF AMERICA (formerly known as MONY Life Insurance Company of America) (collectively, the “Company”); IVY DISTRIBUTORS, INC. (the “Distributor”) and IVY VARIABLE INSURANCE PORTFOLIOS (the “Fund”).

Agreement is entered into as of December 8, 2020, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), the Fund and the Distributor (collectively, the “Parties”).

AXA Equitable Life Insurance Company (“AXA”), for itself and on behalf of one or more separate accounts of AXA (“AXA Separate Accounts”), MONY Life Insurance Company of America (“MLOA” and together with AXA, “Insurance Company”), for itself and on behalf of one or more separate accounts of MLOA (“MLOA Separate Accounts” and together with the AXA Separate Accounts, the “Separate Accounts”), American Funds Distributors, Inc. (“AFD”), American Funds Service Company (“Transfer Agent”), Capital Research and Management Company (“CRMC”), and the American Funds Insurance Series (the “Series”) agree to amend that certain Fund Participation and Service Agreement, dated January 2, 2013 (the “Agreement”), between AXA, AFD, Transfer Agent, CRMC and the Series, as of April 19, 2013. All capitalized terms used herein but not otherwise defined shall have the meaning ascribed such term in the Agreement.
