This Subscription Agreement for Seed Capital (the “Agreement”) is made as of the 10th day of February, 2020 between Stone Ridge Asset Management LLC, a Delaware limited liability company (“Stone Ridge”), and each of the trusts listed on Schedule A attached hereto, as may be amended from time to time, each a Delaware statutory trust (each, a “Trust”), on behalf of its corresponding series listed on Schedule A attached hereto (each, a “Fund”).

This INVESTMENT MANAGEMENT AGREEMENT, dated and effective as of March 5, 2020 (the “Agreement”), is between Stone Ridge Asset Management LLC, a Delaware limited liability company (the “Investment Manager”), and each of the trusts listed on Schedule A attached hereto, as may be amended from time to time (“Schedule A”), each a Delaware statutory trust (each a “Trust” and, collectively, the “Trusts”), on behalf of its series, as indicated on Schedule A (each, a “Fund” and collectively the “Funds”).
