THIS FUND PARTICIPATION AGREEMENT (“Agreement”) made as of the 8th day of April, 2021, by and between Calvert Variable Products, Inc. and Calvert Variable Series, Inc. (collectively, the “Corporations”), each a Maryland corporation, on its behalf and on behalf of each separate investment series thereof, whether existing as of the date above or established subsequent thereto, (each a “Portfolio” and collectively, the “Portfolios”), Eaton Vance Distributors, Inc. (the “Distributor”), and PHL Variable Insurance Company and Nassau Life and Annuity Company, each an insurance company organized under the laws of the State of Connecticut, Nassau Life Insurance Company, an insurance company organized under the laws of the State of New York (together, the “Insurers”), and 1851 Securities, Inc., a broker-dealer organized under the laws of Delaware (together, the “Company”)].

It is understood that policies reinsured under this Agreement may increase or decrease due to normal attrition and changes to policy account values or contractual changes. This includes changes to the base policy and all riders. It is further understood that, with the exception of those policies listed in the attached Exhibit D1, the Reinsurer will accept 50% of the Net Amount At Risk that the Ceding Company has retained on any given life, up to the limits outlined below, which are the Ceding Company’s Retention Limits:

In accordance with the provisions of Article I, Participation in Reinsurance Pool, this Agreement is hereby terminated for the placement of new business, effective July 1, 2002. Any policy in force before July 1, 2002 shall continue to be reinsured under the provisions of the Agreement until the termination or expiry of such policy.
