This CREDIT AGREEMENT (“Agreement”) is entered into as of June 9, 2021, among DISCOVERY COMMUNICATIONS, LLC, a Delaware limited liability company (as further defined in Section 1.01, the “Company”), certain wholly-owned Subsidiaries of the Company party hereto pursuant to Section 2.14 (as further defined in Section 1.01, each a “Designated Borrower” and, together with the Company, the “Borrowers” and, each a “Borrower”), DISCOVERY, INC., a Delaware corporation (as further defined in Section 1.01, the “Facility Guarantor”), each lender from time to time party hereto (as further defined in Section 1.01, collectively, the “Lenders” and individually, a “Lender”), BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and an L/C Issuer.
