This Third Amended and Restated Credit Agreement (this “Agreement”) is entered into by and among INTERNATIONAL FLAVORS & FRAGRANCES INC., a New York corporation (the “Company”), INTERNATIONAL FLAVORS & FRAGRANCES (NEDERLAND) HOLDING B.V., a private limited liability company incorporated in the Netherlands (“NL Holding”), INTERNATIONAL FLAVORS & FRAGRANCES I.F.F. (NEDERLAND) B.V., a private limited liability company incorporated in the Netherlands (“IFF Nederland”), the banks, financial institutions and other institutional lenders (the “Lenders”) from time to time party hereto and CITIBANK, N.A. (“Citibank”), as administrative agent (the “Agent”) for the Lenders.
