THIS INDEMNIFICATION AGREEMENT (this “Agreement”) is made and entered into as of August __, 2021 (the “Effective Date”), by and between Fidus Investment Corporation, a Maryland corporation (the “Company”), and ______________ (“Indemnitee”). For the avoidance of doubt, in addition to memorializing the terms of the Indemnitee’s indemnification rights, this Agreement is also intended to be retroactive, such that it will cover the entire period that the Indemnitee has served as a director of the Company.
