This Registration Rights Agreement (this “Agreement”) is dated as of July 16, 2020, and is between LiveRamp Holdings, Inc., a Delaware corporation (the “Company”), LiveRamp France, a French company (société par actions simplifiée) having its registered office located at 25-29, rue Anatole France 92300 Levallois-Perret and registered with the Trade and Commerce Registry of Nanterre under number 399 792 381 (“Acquiror”) and the persons listed on Exhibit A (each, a “Holder” and collectively, the “Holders”).
