SilverBow Resources, Inc., a Delaware corporation (the “Company”), confirms its agreement, subject to the terms and conditions stated herein, to issue and sell from time to time through Johnson Rice & Company L.L.C. (“Johnson Rice”) and Truist Securities, Inc. (“Truist”) as sales agents (together, the “Agents” or, each, an “Agent”), shares of the Company’s common stock, $0.01 par value per share (the “Common Stock”), having an aggregate offering price of up to $40,000,000 (“Shares”) on the terms set forth in this Equity Distribution Agreement (this “Agreement”). Certain terms used herein are defined in Section 20 below.
