THIS AGREEMENT AND PLAN OF MERGER by and between Essex Bank (“Essex Bank”) and United Bank (“United Bank”) is dated as of June 2, 2021 (this “Bank Merger Agreement”).

This Agreement (this “Agreement”) is made effective as of June 2, 2021 (the “Execution Date”) by and between UNITED BANK, a Virginia state-chartered bank (“United Bank”) and wholly-owned subsidiary of UNITED BANKSHARES, INC., a West Virginia corporation and registered bank holding company (the “Company”), and REX L. SMITH, III (“Executive”). This Agreement shall take effect on the date of the consummation of the Merger referenced below (the “Effective Date”), provided Executive has timely executed and not revoked the Settlement Agreement and Release of Claims attached hereto as Exhibit A. Upon their effectiveness, this Agreement and the Settlement Agreement and Release of Claims shall constitute the entire agreement between the parties hereto and supersede all prior agreements, any understandings and arrangements, oral or written, between the parties hereto with respect to the subject matter hereof, specifically including the Change in Control Employment Agreement by and between Essex
