THIS MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated as of September 6, 2021, is made by and among Universal Corporation, a Virginia corporation (“Purchaser”), Shank’s Extracts, Inc., a Pennsylvania corporation (the “Company”), Jeffrey F. Lehman, an individual (“Stockholder”), and Rolling Rock Transit Company, a Pennsylvania corporation (“HoldCo Seller”).
