Reference is made to the arrangement agreement dated as of the date hereof (the “Arrangement Agreement”) between Sundial Growers Inc. (“Purchaser”) and Alcanna Inc. (the “Company”), which contemplates a plan of arrangement involving Purchaser, the Company and the shareholders of the Company pursuant to section 192 of the Canada Business Corporations Act (the “Arrangement”). All capitalized terms not defined herein shall have the meanings attributed thereto in the Arrangement Agreement.
