This Registration Rights Agreement (this “Agreement”) is made and entered into as of November 19, 2021, by and among by and between SilverBow Resources, Inc., a Delaware corporation (the “Company”) and TNR-CRX STX Holdings, LLC, a Delaware limited liability company (the “Holder” and, together with the Company, the “Parties”). Capitalized terms used herein but not otherwise defined shall have the meanings ascribed to them in the Purchase Agreement (defined below).
