TERM LOAN CREDIT AGREEMENT, dated as of August 9, 2019, as amended by Amendment No. 1 (as defined below) on December 1, 2020, as amended by Amendment No. 2 on November 15, 2021 and as amended by Amendment No. 3 (as defined below) on December 2, 2021 (this “Agreement”), by and among Claros Mortgage Trust, Inc., a Maryland corporation (the “Borrower”), the Lenders from time to time party hereto and JPMorgan Chase Bank, N.A. (“JPMCB”), in its capacities as administrative agent for the Lenders and collateral agent for the Secured Parties (in such capacities and together with its successors and assigns, the “Administrative Agent”).
