This Amended and Restated Limited Liability Company Agreement of Oasis Investment Holdings LLC (the “Company”), dated as of December 29, 2021 (the “Effective Date”), is entered into by and between OMS Holdings LLC, a Delaware limited liability company (“OMS Holdings” or the “Managing Member”), and Oasis Petroleum North America LLC, a Delaware limited liability company (“OPNA”). OMS Holdings and OPNA are each referred to herein as, a “Member” and collectively, as “Members” of the Company. In consideration of the covenants, conditions and agreements contained herein, the parties hereto hereby agree as follows:

This will confirm the agreement by and among all the undersigned that the Statement on Schedule 13D filed on or about this date and any further amendments thereto with respect to the beneficial ownership by the undersigned of the common units of Oasis Midstream Partners LP, a Delaware limited partnership (the “Issuer”), and such other securities of the Issuer that the undersigned may acquire or dispose of from time to time. This agreement is being filed on behalf of each of the undersigned in accordance with Rule 13d-1(k)(1) under the Securities Exchange Act of 1934.

This Contribution Agreement (this “Agreement”), dated as of December 29, 2021 (the “Effective Date”), is entered into by and between OMS Holdings LLC, a Delaware limited liability company (“OMS Holdings”) and Oasis Investment Holdings LLC, a Delaware limited liability company (“Oasis Investment Holdings”). OMS Holdings and Oasis Investment Holdings are referred herein from time to time each as a “Party” and together as the “Parties.” Capitalized terms not defined in this Agreement shall have the meaning ascribed to such terms in the Oasis Investment Holdings LLCA (defined below).
