This Employment Agreement, dated as of January 5, 2022 (this “Agreement”), is made and entered into by and between Forge Group, Inc., a Pennsylvania corporation, (“Company”) and Patrick Bracewell (“Executive”). This ESCROW AGREEMENT (as the same may be amended or modified from time to time pursuant hereto, this “Agreement”) is made and entered into as of January [__], 2022, by and among Griffin Financial Group, LLC, a Pennsylvania limited liability company (the “Placement Agent”), Forge Group, Inc., a Pennsylania corporation (the “Company”), Amalgamated Casualty Insurance Company (“ACIC”, and together with the Company and the Placement Agent, sometimes referred to individually as a “Party” or collectively as the “Parties”), and Computershare Trust Company, N.A. (the “Escrow Agent”).
