THIS AGREEMENT AND PLAN OF MERGER is made and entered into as of April 12, 2022, by and among Halozyme Therapeutics, Inc., a Delaware corporation (“Parent”), Atlas Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Purchaser”), and Antares Pharma, Inc., a Delaware corporation (the “Company”).
