This Amended and Restated Agreement is made effective as of the 1st day of January, 2022, by and among ALLIANZ VARIABLE INSURANCE PRODUCTS TRUST (the “VIP Trust”), a Delaware statutory trust (formerly known as a Delaware business trust), ALLIANZ VARIABLE INSURANCE PRODUCTS FUND OF FUNDS TRUST (the “FOF Trust,” and together with the VIP Trust, the “VA Trusts”), a Delaware statutory trust (formerly known as a Delaware business trust), and AIM ETF PRODUCTS TRUST (“ETF Trust”; together with the VA Trusts, the “Trusts”), a Delaware statutory trust, and ALLIANZ INVESTMENT MANAGEMENT LLC (“AIM”), a Minnesota limited liability company.

THIS AGREEMENT dated as of January 19, 2022, among Allianz Variable Insurance Products Fund of Funds Trust (the “Acquiring Trust”), on behalf of itself and its separate series listed on Schedule A, as amended from time to time, severally and not jointly (each an “Acquiring Fund” and collectively, the “Acquiring Funds”), and PIMCO Variable Insurance Trust, (the “Acquired Trust”), on behalf of its itself and its separate series listed on Schedule B, as amended from time to time or as such additional series are deemed to be added in the future, severally and not jointly (each, an “Acquired Fund” and collectively, the “Acquired Funds”).
