This AMENDED AND RESTATED EMEA GUARANTY AND PLEDGE AGREEMENT (the “EMEA Guaranty”), dated as of May 18, 2022, made by Bird Rides International Holding, Inc. (the “EMEA Guarantor”), is made in favor of MidCap Financial Trust, as Administrative Agent) (the “Administrative Agent”) and the Lenders (the “Lenders” collectively with the Administrative Agent and the other Secured Parties, the “Beneficiaries”) under the Credit Agreement (as defined below).
