This Preferred Stock Rights Agreement (this “Agreement”), dated as of [ ], 2022, is between Zymeworks Inc., a Delaware corporation (the “Company”), and Computershare Trust Company, N.A., a United States federally chartered trust company, as rights agent (the “Rights Agent”).
