THIS AMENDED AND RESTATED DISTRUBUTION AGREEMENT (“Agreement”), entered into as of November 1, 2022 is by and among NATIONWIDE LIFE INSURANCE COMPANY and NATIONWIDE LIFE AND ANNUITY INSURANCE COMPANY, and JEFFERSON NATIONAL LIFE INSURANCE COMPANY (“JNLIC”), on their behalf and on behalf of the separate accounts that are more particularly described below, (collectively referred to herein as the “Life Company”), and NATIONWIDE INVESTMENT SERVICES CORPORATION (“Distributor”). Each Life Company and Distributor is hereinafter referred to as a “Party,” or collectively, as the “Parties.”

THIS MUTUAL TERMINATION AGREEMENT (the “Termination Agreement” is entered into this ________ day of ______________, 2022 by and between Jefferson National Life Insurance Company (“JNLIC”), Texas stock life insurance company, on its own behalf and on behalf of its various separate accounts that may be established under Texas law from time to time (the “Separate Accounts”), and Jefferson National Securities Corporation, a Delaware corporation and a registered broker-dealer (“JNSC”). Each JNLIC and JNSC is hereinafter referred to as a “Party,” or collectively, as the “Parties.”
