This THIRD AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of November 7, 2022, among THE HACKETT GROUP, INC., a Florida corporation (the “Borrower”), the Guarantors (defined herein), the Lenders (defined herein), BANK OF AMERICA, N.A., as Administrative Agent, a Lender, Swingline Lender and an L/C Issuer, and the other L/C Issuers from time to time party hereto, and amends and restates that certain Second Amended and Restated Credit Agreement among the Borrower and Bank of America dated May 9, 2016 (as amended, the “Existing Credit Agreement”).
