THIS SECOND SUPPLEMENTAL INDENTURE, dated as of December 1, 2022, (this “Second Supplemental Indenture”), by and among Brookfield Finance I (UK) PLC (the “Original Issuer”), a company organized under the laws of England and Wales (with registered number 12904555), Brookfield Finance Inc. (the “Successor Issuer”), a corporation incorporated under the laws of Ontario, Canada, Brookfield Asset Management Inc.
