AMENDED AND RESTATED LIMITED LIABILITY COMPANY AGREEMENT of SLR PRIVATE CREDIT BDC II LLC (the “Fund”), dated as of December 23, 2022, by and among those Persons who have entered into Subscription Agreements with the Fund for the purchase of common limited liability company units (the “Units”) of the Fund as members, or who are subsequently admitted to the Fund as members holding Units (collectively, the “Members”).

THIS GLOBAL CUSTODIAL SERVICES AGREEMENT is made on March , 2013, by and between, severally and not jointly, SOLAR CAPITAL LTD and SOLAR SENIOR CAPITAL LTD, (each the “Client “) and Citibank, N.A. acting through its offices located in New York (the “Custodian”).
