This REGISTRATION RIGHTS AGREEMENT (the “Agreement”) is made as of February 9, 2023 by and among Minerva Surgical, Inc., a corporation organized and existing under the laws of the State of Delaware (the “Company”), and the undersigned purchasers (each, a “Purchaser” and collectively, the “Purchasers”).
