THIS SECOND AMENDED AND RESTATED ADVISORY AGREEMENT (this “Agreement”), dated as of the 21st day of February, 2023, is by and among Apollo Realty Income Solutions, Inc., a Maryland corporation (together with its subsidiaries, the “Company”), ARIS Operating Partnership L.P., a Delaware limited partnership (together with its subsidiaries, the “Operating Partnership”) and ARIS Management, LLC, a Delaware limited liability company (the “Adviser”). This Agreement amends and restates the Amended and Restated Advisory Agreement dated as of November 22, 2022, which amended and restated the Advisory Agreement dated as of June 29, 2022, which became effective as of the date the Registration Statement (as defined below) was declared effective by the Securities and Exchange Commission (the “Effective Date”). Capitalized terms used herein shall have the meanings ascribed to them in Section 1 below.
