This Employment Agreement (this “Agreement”) is entered into by and between Calidi Biotherapeutics, Inc., a Nevada Corporation, (the “Company”), and Allan Camaisa (“Executive”), and shall be effective as of February 1, 2022 (the “Effective Date”).

This License Agreement (“Agreement”), dated July 22, 2021 (the “Effective Date”), is between The University of Chicago, an Illinois not-for-profit corporation (“University”), and Calidi Biotherapeutics, a Nevada corporation, having an address at 11011 North Torrey Pines Road, Suite 200 La Jolla, CA 92037, USA (“Company”). Each hereunder may be referred to separately as the “Party”, or together as the “Parties”.

This License Agreement (“Agreement”) made this 7th day of June, 2021 (the “Effective Date”) by and between Northwestern University, an Illinois corporation having a principal office at 633 Clark Street, Evanston, Illinois 60208 (hereinafter referred to as “Northwestern”) and Calidi Biotherapeutics, Inc., a Nevada corporation having a principal office at 11011 N. Torrey Pines Rd., Suite 200, La Jolla, CA 92037 (hereinafter referred to as “Licensee”) (each of Northwestern and Licensee individually a “Party” and collectively the “Parties”).
