THIS DISTRIBUTION & UNDERWRITING AGREEMENT is entered into this 1st day of May 2023 (the “Effective Date”) by and between The Prudential Insurance Company of America, a New Jersey corporation (the “Insurance Company”), the Prudential Variable Contract Accounts set forth and identified in Schedule A attached hereto (each, a “Separate Account” and collectively, the “Separate Accounts”), and Empower Financial Services, Inc. (the “Underwriter”) (each a “Party” and collectively the “Parties”).
