AGREEMENT made this 13th day of March 2023, between Fidelity Multi-Strategy Credit Fund, a Delaware statutory trust having its principal place of business in Boston, Massachusetts and which may issue one or more series of beneficial interest (“Issuer”), with respect to shares of Fidelity Multi-Strategy Credit Fund and Fidelity Distributors Company LLC, a Delaware limited liability company having its principal place of business in Smithfield, Rhode Island (“Distributors”).

The undersigned hereby subscribes for and agrees to purchase 10,000 Class I common shares of beneficial interest, $0.01 par value per share (the “Class I Common Shares”), of Fidelity Multi-Strategy Credit Fund, a Delaware statutory trust (the “Trust”), at a price of $10.00 per Class I Common Share, and request to assign ownership and purchases in such names and with such specifications as are set forth on Schedule A attached hereto, and hereby agrees to contribute cash to the Trust on the date hereof as consideration for the Class I Common Shares in the amount of $100,000.00 with a trade date of 03/20/2023 (the “Consideration”).

Fidelity Distributors Company LLC (“Distributor”) serves as the principal underwriter for the closed-end investment companies listed on Exhibit A hereto (each a “Fund”) registered under the Investment Company Act of 1940, as amended (the “1940 Act”), and operated as interval funds, pursuant to a distribution agreement with the Fund. [ ] (“Dealer”) and Distributor hereby agree that Dealer will participate in the distribution of certain classes of shares of the Fund described in Exhibit A hereto (“Shares”) and separately will provide certain non-distribution shareholder services to the holders of Shares, subject to the terms of this Agreement (“Agreement”), dated as of the [ ] day of [ ], 20[ ].

This Expense Limitation Agreement, dated as of March 13, 2023, (the “Agreement”), is made and entered into by and between Fidelity Diversifying Solutions LLC (the “Adviser”) and Fidelity Multi-Strategy Credit Fund (the “Fund”). Whereas, the Adviser and the Fund have entered into a Management Contract, pursuant to which the Adviser has agreed to provide certain services and to pay certain expenses of the Fund in return for a management fee, the Adviser agrees on a monthly basis to reimburse the Fund’s “ordinary operating expenses” (as defined below and such reimbursement shall be referred to herein as an “Expense Payment”) to the extent that the Fund’s ordinary operating expenses in respect of the relevant month exceed 0.70% of the Fund’s average net assets (the “Expense Limitation”).
