THIS PURCHASE AND SALE AGREEMENT dated as of April 28, 2023 (this “Agreement”) is among Oncor Electric Delivery Company LLC, a Delaware limited liability company, in its individual capacity (“Oncor”) and as initial Servicer (in such capacity, together with its successors and assigns in such capacity, the “Servicer”), the originators from time to time party hereto (each, an “Originator”, and collectively, the “Originators”) and Oncor Receivables LLC, a Delaware limited liability company (the “Buyer”).
